一、企业的基本情况
集团公司是按照有关港口企业政企分开要求改制后组建的港口企业集团公司。
集团公司目前拥有生产性泊位5个，其中万吨级以上泊位4人（1万吨级2个，5万吨级2个），年通过能力350万吨，库场面积30万平方米，装卸机械设备100多台（套），2,600马力和3,800马力拖轮各一艘，铁路专用线7.5公里、总资产超过10亿元。公司主要经营散杂货、集装箱及重大件等多种货物的装卸、储存、中转及代理业务，已开通集装箱海铁联合运输业务。另外，由下属子公司钦州市港口建设投资有限责任公司负责的在建工程有钦州港三期工程（一个5万吨级通用泊位、两个10万吨级散杂货泊位）和钦州港10万吨级航道扩建工程。
集团公司2003年利润455万元、2004年利润500万元。
集团公司下辖4个子公司，分别为钦州市港口建设投资有限责任公司、钦州市港口集团物流公司、货运代理公司和钦州港鑫汇商贸公司。全公司现有职工520人，本科37人、大专108人、中专107人。高级职称3人、中级职称42人、初级职称96人。离退休2人，在职518人。
二、企业交易项目
1、一期工程
钦州港一期工程建设规模为2个万吨级泊位，装卸功能以装卸散杂货为主。设计年吞吐能力90万吨。
2、二期工程
二期工程建设规模为2个5万吨通用泊位，装卸功能以装卸散杂货为主，同时具备装卸集装箱和重大件的功能。设计年吞能力115万吨。
2002年钦州港开通了集装箱内贸班轮，航线为南北航线（钦州港—北方沿海各港），2005年5月开通钦州港至香港的外贸航线。港口的集装箱货物进入中海公司的集装箱运输网络。
3、勒沟铁路专用线
钦州港勒沟铁路专用线正线长5.3公里，铺轨里程7.5公里，占地350亩。
三、市场前景
自2000年以来，已有24个工业项目落户钦州港，形成工业产值能力40亿元。印尼金光集团、中石化等知名企业相继进驻钦州港。据初步预测，现已签约引进的项目在2007年左右全部竣工达产后，工业总产值能力可达200亿元以上。另外，经预测，2010年，钦州港吞吐量将达6,500万吨，2020年，钦州港吞吐量将达1亿吨。
预计2006年，一、二期工程后方的大洋粮油大豆加工、华港大豆加工、粮仓等项目投产后，钦州港一期、二期工程码头形成规模经营，吞吐量将达400万吨，勒沟铁路专用线货运量将达450万吨；2010年钦州港一期、二期工程码头吞吐量将达450万吨，勒沟铁路专用线货运量将达600万吨。
四、国有资产产权交易或重组方式
1、方式：（1）转让（三个项目以总价值8.78亿元转让）。（2）合股（三个项目以总价值8.78亿元作为总股本，含负债4.0亿元。外方以承担全部债务的方式控股；我公司以净资产4.78亿元入股）。

Qinzhou Port Group Co., Ltd.

1. Introduction
Qinzhou Port Group Co., Ltd. is a company that was established under the Separation Policy of politics and enterprise running adopted by authorities.
The company presently owns 5 productive berths, including 4 with tonnage of above 10,000 tons (1 with 10,000 tons and 2 with 50,000 tons). The annual handling volume is 3.5 million tons. The Qinzhou port has a storage area of 300 thousand M2, and 409 sets of different handling machines, a tugboat with 2,600 horsepower and one with 3,800, railways with total length of 7.5kilometers, and total property of over RMB1billion. The company undertakes cargo and container handling, stacking, shipping, transshipment and forwarding, as well as the new business of sea-railway associating shipping of containers. Besides, the constructing projects includes 3rd Project of Qinzhou Port ( 1 bulk cargo berth with tonnage of 50,000 tons and 2 with 100,000 tons) and 100,000 tonnage Sea-route  Enlarging Project of Qinzhou Port, both are in charge of the company's subordinate Qinzhou Port Construction & Investment Co., Ltd.
The company's profit gained for Year 2003 is RMB4.55million, and that for 2004 is RMB5million.
The company has 4 subordinates, which are: Qinzhou Port Construction & Investment Co., Ltd.; Logistics Company of Qinzhou Port Group Co., Ltd.; Cargo Shipping Company of Qinzhou Port Group Co., Ltd., and Qinzhou Port Xinhui Trading Company. It has 520 personnel, including 37 with bachelor degrees, 108 with college diplomas, 107 with technical secondary diplomas, 3 with senior professional titles, 42 with intermediate professional titles and 96 with junior ones. 2 retired and 518 in post.
2. Dealing Projects
(1) 1st Project
1st Project of Qinzhou Port aims at building 2 berths with 10,000 tonnage mainly handling bulk cargoes. Designed annual throughput is 900 thousand tons.
(2) 2nd Project
2nd Project of Qinzhou Port aims at building 2 berths with 20,000 tonnage mainly handling bulk cargoes, containers and large-sizes. Designed annual throughput is 1.15 million tons.
In 2002 Qinzhou Port opened interior shipping for containers, the route is South-North(Qinzhou Port-Northern ports). In May 2005 opened exporting route from Qinzhou Port to Hong Kong. The container shipments are expected to enter transportation network of China Shipping Group.
(3) Lego Railway
The length of Lego Railway of Qinzhou Port will be 5.3Kilometres, track paving length of 7.5Kilometres and occupied land of 350 Mu.
3. Market Prospect
Since 2000, 24 industrial projects have settled in Qinzhou Port, forming industrial productivity worth RMB4billion. Large famous enterprises such as Indonesian Sinar Mas Group, Sinopec Corp. has entered successively. By initial estimates, projects that has signed and introduced will be completed and put into use in around 2007, and by then the total industrial production capacity will reach above RMB20billion. In addition, by some estimates the throughput of Qinzhou will reach 65 million tons by year 2010 and 100 million tons by 2020.
It's expected that by 2006, once 1st and 2nd Projects complete and the projects of soybean processing of Dayang Grain & Oil, Huagang soybean processing and grain storage launch, the dock of 1st and 2nd Project will be shaping into a throughput of 4 million tons. Shipment volume of Lego Railway will reach 4.5 million tons. By 2010 the throughput of dock of 1st and 2nd Project will be 4.5 million tons and shipment volume of Lego Railway will reach 6 million tons
4. Dealing or Reorganizing Methods of State-owned Property Right
(1) Methods:
A. Transfer (all 3 Projects at RMB878 million in total);
B. Joint Stock (with RMB878 million as capitalization of the 3 projects, which includes liability of RMB400 million. Investor(s) become(s) shareholder by undertaking the whole liability and the company becomes shareholder with net assets of RMB478 million.
