一、企业的基本情况
公司是1999年8月由钦州市公路管理处和钦州市交通工程总公司共同出资，依法设立的国有交通投资法人，注册资本15,050万元人民币，其中钦州市公路管理处出资15,035万元，钦州市交通工程总公司出资15万元。公司主要经营公路投资建设、公路经营管理、公路维修养护及房地产开发。
公司的性质为有限责任公司，依法自主经营、自负盈亏。公司设有股东会、董事会、监事会，设钦州至钦州港公路收费站、钦州市过境公路收费站二个二层机构。公司现有员工118人，其中公司总部员工20人，二层机构员工98人。
2002年公司资产总额24,491万元，负债5,995万元，所有者权益18,496万元，资产负债率24.48%；2003年资产总额26,713万元，负债总额11,142万元，所有者权益15,571万元，资产负债率41.71%；2004年资产总额53,608万元，负债32,538万元，所有者权益21,070万元，资产负债率60.70%。
公司经营收入目前主要是进港公路和过境公路机动车通行费收入，2002年主营业务收入1,389万元，税后利润759万元；2003主营业务收入1,568万元，税后利润727万元；2004年主营业务收入1,837万元，税后利润753万元；收入呈逐年增长趋势，经营成果显著。

恒远公司已经委托广西正德会计师事务所有限公司对钦州至钦州港一级公路及广西滨海公路钦州段的公路收费权进行评估，评估结果已经报钦州市财政局审核。

Qinzhou Hengyuan Traffic Investments Co., Ltd.

1. Introduction
The company was co-invested by Qinzhou Road Management Department and Qinzhou Traffic Engineering Company and established as a state-owned enterprise with registered capital of RMB150.5million, thereinto which RMB150.35million was invested by Qinzhou Road Management Department and RMB150 thousand by Qinzhou Traffic Engineering Company. The main business of the company covers road investment and building, operating and management, maintenance and realty development.
It's a limited company with board of shareholders, directorate, and supervising union. There are 2 sub-organs: toll stations in road from Qinzhou to Qinzhou Port and toll stations for passing roads of Qinzhou. The company has 118 personnel, including 20 in headquarter and 98 in sub-organs.
For 2002 the company had total property of RMB244.91 million, liability of RMB59.95 million, owner's equity of RMB184.96 million, assets ratio of 24.48％; for 2003 total property of RMB267.13 million, liability of RMB111.42 million, owner's equity of RMB155.71 million, assets ratio of 41.71％; for 2004 total property of RMB536.08 million, liability of RMB325.38 million, owner's equity of RMB210.70 million, assets ratio of 60.70％.
The company's business takings are mainly pike of entering and passing motor vehicles. The business volume of 2002 totaled RMB13.89 million and after-tax profit was RMB7.59 million; the business volume of 2003 totaled RMB15.68 million and after-tax profit was RMB7.27 million; business volume of 2004 totaled RMB18.37 million and after-tax profit was RMB7.53 million. The business takings are increasing year by year.

(2) Requirements for cooperator(s): firms with assets no less than RMB1billion, assets ratio of no more than 70％, current ratio of no less than 100% and experience in road management are also required.
4. Project Preparation Status
The company has entrusted Guangxi Zhengde Accounting Firm to appraisal on its toll charging right for A road from Qinzhou to Qinzhou Port and Qinzhou Section of Guangxi seashore road. The appraisal result has been reported to Qinzhou Finance Bureau for verification.
